Terms of Use

These Terms of Use (“Terms”) are a binding agreement between you and Socentra (“Socentra,” “we,” “us,” or “our”) governing your use of the Socentraapplication and services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. Eligibility and accounts

  • You must be at least 18 years old and able to form a binding contract.
  • You are responsible for the accuracy of your registration information and for keeping your credentials secure. You are responsible for all activity under your account.
  • If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” includes that organization.

2. The Service

Socentra helps you manage social media accounts: connecting accounts, creating and scheduling posts, adapting content across platforms with AI assistance, viewing and responding to interactions, discovering trends, viewing analytics, and (where available) promoting content. Features available to you depend on your plan and on the third-party platforms you connect.

We may add, change, or remove features. We aim to give notice of material changes but are not obligated to maintain any particular feature.

3. Connecting third-party platforms

  • The Service interoperates with third-party platforms (e.g., Meta, X, LinkedIn, TikTok). Your use of each platform through the Service is alsosubject to that platform's own terms and policies, and you agree to comply with them.
  • You authorize us to access and act on those platforms on your behalf to the extent you permit during connection. You may revoke this access at any time by disconnecting the account.
  • We are not responsible for third-party platforms, their availability, their policy changes, or any suspension or termination of your accounts by them. Platform API changes may affect or disable features without notice.

4. Your content and license to us

  • You retain ownership of the content you create or upload (“Your Content”).
  • You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, process, transmit, adapt, and display Your Content solely to operate and provide the Service to you — including formatting it for different platforms, generating variants and suggestions, and publishing it where you direct.
  • You represent that you have all rights necessary to Your Content and that it does not infringe others' rights or violate law or any platform's policies.

5. AI-generated content

  • The Service uses AI to generate drafts, adaptations, suggestions, replies, and insights. AI output may be inaccurate, incomplete, or unsuitable. It is provided as a starting point for your review.
  • You are responsible for reviewing and approving anything before it is published. You are solely responsible for content you publish through the Service, including AI-assisted content.
  • Do not rely on AI output as professional, legal, financial, or other expert advice.
  • You must not use AI features to generate content that is unlawful, deceptive, infringing, harassing, or that violates a connected platform's policies.

6. Acceptable use

You agree not to:

  • Violate any law or any third-party platform's terms, automation rules, or display requirements.
  • Use the Service for spam, fake engagement, artificial amplification, or to operate bot networks.
  • Use the Service to surveil, track, or profile individuals or groups in violation of platform rules or law (including tracking sensitive events or groups).
  • Post or distribute content that is illegal, hateful, harassing, infringing, deceptive, or sexually exploitative, or that endangers minors.
  • Attempt to access data or accounts you are not authorized to access, or circumvent platform rate limits, security, or access controls.
  • Reverse engineer, scrape, overload, disrupt, or interfere with the Service.
  • Resell or provide the Service to third parties except as expressly permitted by your plan.

We may investigate and take action — including suspension or termination — for violations, and we may remove content or disable features to comply with law or platform requirements.

7. Plans, payments, and add-ons

  • Paid plans, AI usage credits, and add-ons (including the X add-on) are billed as described at purchase. Prices may be shown in local currencies and may change with notice.
  • Subscriptions renew automatically until cancelled. You can cancel at any time, effective at the end of the current billing period. Except where required by law, payments are non-refundable.
  • AI usage is metered by credits; exceeding plan limits may pause AI features or require an upgrade.
  • Advertising / promotion: where you run paid promotions, ad spend is billed directly by the relevant ad platform through your own connected ad account. We do not hold ad funds. You are responsible for all ad spend and for compliance with the ad platform's policies. Spend caps you set are a convenience and not a guarantee against all charges.
  • Taxes may apply and are your responsibility unless stated otherwise.

8. Intellectual property

The Service, including its software, design, and trademarks, is owned by us or our licensors and protected by law. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. You get no rights beyond those expressly granted.

9. Feedback

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without obligation to you.

10. Suspension and termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access if you breach these Terms, create risk or legal exposure, or fail to pay, or if required by law or a platform. Where practical we will give notice.
  • On termination, your license to use the Service ends. We will delete or de-identify your data per our Privacy Policy, subject to legal retention needs. Sections that by nature should survive (e.g., 4 license for processed content already transmitted, 8, 9, 11–15) survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, THAT AI OUTPUT WILL BE ACCURATE, OR THAT PUBLISHING, METRICS, OR THIRD-PARTY PLATFORM FEATURES WILL ALWAYS FUNCTION. PLATFORM CHANGES OUTSIDE OUR CONTROL MAY AFFECT THE SERVICE.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, GOODWILL, OR BUSINESS, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD 100. Some jurisdictions do not allow certain limitations, so some may not apply to you.

13. Indemnification

You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable legal fees) arising from Your Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party rights or platform policies.

14. Governing law and disputes

These Terms are governed by the laws of Nigeria, without regard to conflict-of-laws rules. Disputes will be resolved in the courts of Lagos, Nigeria, unless applicable consumer law gives you other rights.

15. General

  • Changes:We may update these Terms; material changes will be notified and the “Last updated” date will change. Continued use means acceptance.
  • Entire agreement: These Terms and the Privacy Policy are the entire agreement between us regarding the Service.
  • Severability: If a provision is unenforceable, the rest remains in effect.
  • No waiver: Our failure to enforce a provision is not a waiver.
  • Assignment: You may not assign these Terms without our consent; we may assign them in connection with a business transfer.
